FEES and POLICIES
EXCLUSIVE RETAINED SEARCH
This program is usually
used for the direct recruiting of currently employed, high level,
professional, technical, or executive talent on a confidential or
exclusive basis.
In acceptance of this exclusive retained
search, Corporate Management Solutions, Inc. (herein after called CMS)
agrees to the following:

Through the
best of its efforts, CMS will locate, evaluate, interview, and
recommend candidates to (Client Name), (herein after called
client), for the position of (Position Title).
a. Define
and develop a position specification with appropriate salary parameters
approved by client before the search
process begins.
b. Coordinate
scheduling of interview(s); prepare candidate(s) and client for
interview(s); debrief candidate after interview and extend/help extend
offer to gain acceptance and start date.

Client agrees
to pay fees to CMS as follows;
a. Based
upon total estimated first years’ compensation at the rate of 30%.
b. Payable
in increments as follows:
▪ 1/3 estimate ($ ) with signed
agreement
▪
1/3 estimate ($ ) at 30 days or at presentation of candidate(s)
meeting the position
specification, which ever is later.
▪
Final adjustment of balance due upon applicant acceptance of the
position.
c.
Reasonable estimated expenses for travel will be submitted in
advance for approval and will be paid monthly; as will other
pre-approved expenses (direct mail, advertising, etc.)
3.
In consideration of the above,
a.
If within (45) forty five days after starting, CMS determines they
will not be able to complete the
search within a reasonable timeframe, they will offer the client the
option of converting to contingency search with any fee deposits
applying to future business or continue the search on retainer.
b.
CMS agrees to present at least two candidates that meet the
original position specification if employee
hired voluntarily leaves, without cause by client, within three months
(3) of employment date.
c.
Client agrees to provide feedback on submitted candidates within two
working days, schedule interviews within five working days for selected
candidates and extend offer to selected candidate within five working
days from last interview.
e.
Client will
refer all resumes received from any source for this position to CMS for
evaluation.

SPECIAL CONTINGENCY SEARCH
This program us usually used for the direct
recruiting of currently employed, mid to higher level technical and
operational level talent with special skills.
In acceptance of this Special Contingency Search, Corporate Management
Solutions, Inc. (herein after called CMS) agrees to the following:

Through the
best of its efforts, CMS will locate, evaluate, interview, and
recommend candidates to (Client Name), (herein after called
client), for the position of (Position Title).
a. Define
and develop a position specification with appropriate salary parameters
approved by client before the search process begins.
b. Coordinate
scheduling of interview(s); prepare candidate(s) and client for
interview(s); debrief candidate after interview and extend/help extend
offer to gain acceptance and start date.

Client agrees
to pay fees to CMS as follows:
a.
Based upon total estimated first years compensation at
the rate of 30%.
b.
Payable in increments as follows:
▪ A deposit of1/3 of
the total estimated fee with signed agreement
▪
On multiple searches with similar position specs, the maximum deposit
will
be
1/3 of the average estimated total fee
times 2.
▪ Final
adjustment on or before start date of candidate selected

In

a. Client
agrees to provide feedback on submitted candidates within two working
days, schedule interviews within five working days for selected
candidates and extend offer to selected candidate within five working
days from last interview.
b. If
for any reason CMS does not fill this position, the deposit will be
applied to the next Special Contingency Search from this client.

MULTI - HIRE FLAT FEE
AGREEMENT
This program usually is used where the client and CMS
have a good relationship built on previous successfully completed
searches and the client has a continued need for CMS's recruiting
services on a long term basis.
(Client Name)
agrees to pay a fixed fee of
($amount) to Corporate Management Solutions Inc, (hereinafter
"CMS") for professional services rendered in the recruiting and
placing a (Position Title).
OBLIGATION:
The fee is payable in two
increments: ($amount) is due at inception and the balance of ($amount)
is payable within 10 days of the employee’s start date. If (Client
Name) does not hire one of CMS’s candidates for this
search assignment, the ($amount) initial payment will be applied toward
their next CMS Search Assignment dated on or before (date one
year from this agreement date).
A fee is due CMS if a candidate is hired by (Client Name),
any of its affiliates, or any other employer to whom they refer our
candidate within one (1) year from date of the most recent communication
between them and our candidate or between (Client Name) and
CMS relative to that candidate.
STANDARD REFUND POLICY:
CMS agrees to refund one
thirteenth (1/13) of fee paid, for each week remaining of the first
thirteen (13) weeks of employment, if their candidate voluntarily leaves
without cause by his/her employer. Total amount of flat fee must have
been received by CMS within ten (10) days of start date, for
refund to apply.

STANDARD CONTINGENCY
FEE SCHEDULE:
This program us usually used when the position is not
critical that it be filled immediately.
The following fee schedule of Corporate Management Solutions Inc,
(hereinafter "CMS") is based upon the estimated total first years'
compensation of their candidate.

In the case of commission compensated candidates, the fee will be
30% of a predetermined estimate of the first years' total compensation. All fees are due and payable in full on or before
the start date of our candidate.
OBLIGATION:
There is no charge for contingency services unless a candidate is
hired by your company, its affiliates, or any other employer to whom you refer our
candidate (hereinafter "Employer") within one (1) year from date of the
most recent communication between Employer and candidate or between Employer
and CMS relative to that candidate.
Acceptance of CMS candidate referrals constitutes your
agreement with our standard fee schedule, refund policy, and obligation. These
shall apply unless there is a written agreement between our companies superseding any part
of this standard fee schedule and policy, even if this is not signed and returned.
STANDARD REFUND POLICY:

SPECIAL
SERVICES ON HOURLY BASIS
Hourly fees and services provided will be
negotiated on a project by
project basis and a written agreement shall be signed before any work will begin.
